Alpha Modus secures $2M from Streeterville in prepaid share deal

Alpha Modus Holdings, Inc. (NASDAQ: AMOD) entered into a securities purchase agreement with Streeterville Capital, LLC on June 30, 2026, under which Streeterville may purchase up to $10,000,000 in Class A common stock through one or more secured pre-paid purchases.

At the initial closing, the company sold an initial pre-paid purchase with an original principal amount of $2,190,000 and 450,000 pre-delivery shares to Streeterville for a total purchase price of $2,000,045.

Each pre-paid purchase carries an 8% original issue discount, accrues interest at 8% per annum, matures 18 months from the purchase price date, and is prepayable at a 10% premium with 10 trading days' notice. Streeterville may purchase common shares at 90% of the lowest daily volume-weighted average price over the preceding five trading days, subject to a $0.81 per share floor price, and may not hold more than 9.99% of common stock at any time.

The agreement grants Streeterville first-priority security interests in all company and subsidiary assets, including intellectual property. Company subsidiaries serve as guarantors of the obligations.

The agreement restricts Alpha Modus from issuing debt securities or variable rate equity while any pre-paid purchase is outstanding, and prohibits payments to CEO William Alessi or his affiliates on existing debt obligations. A subordination agreement requires that debt owed to Alessi, his entity Janbella Group, LLC, associated trusts, and Chief Strategy Officer Chris Chumas be subordinated to Streeterville.

Shareholder approval to issue shares beyond the Nasdaq listing rule cap was received on June 30, 2026. The company is required to file a Schedule 14C information statement and a registration statement with the SEC within 30 days of the initial closing.
