Alpha Modus files to register 11.3 million shares for resale

Alpha Modus Holdings Inc. (NASDAQ: AMOD) filed a registration statement with the Securities and Exchange Commission to allow certain shareholders to sell up to 11,292,615 shares of common stock and related warrants.
The filing covers shares held by various entities including the company's original sponsor, service providers, and convertible note holders. The registered securities include 3,610,339 shares originally issued to the sponsor in connection with Alpha Modus' September 2021 initial public offering, which were acquired at approximately $0.004 per share.
The registration also encompasses 6,278,664 shares to be issued as consideration to service providers, including 4 million shares to Leron Group LLC, 400,000 shares to Maxim Group LLC, 250,000 shares to Rucus Holdings LLC, and 1,628,664 shares to Black Marble LP.
Additionally, the filing covers 1,403,612 shares that could be issued upon conversion of promissory notes held by Loeb & Loeb LLP, the Nancy Helen Wallace and Gerard Haase-Dubosc Family Trust, and AIFirst Ventures LLC.
The registration includes 7,469,999 warrants issued during the company's initial public offering, exercisable at $11.50 per share, and 1,363,636 warrants issued in connection with convertible notes, exercisable at prices ranging from $1.00 to $1.10 per share.
The filing allows these shareholders to sell their securities from time to time in the public market. Alpha Modus will not receive proceeds from the sale of shares by the selling shareholders, according to the registration statement.
