Allied Critical Metals announces $4 million private placement financing

Allied Critical Metals Inc. (CSE: ACM) announced a non-brokered private placement offering to raise up to $4 million through the sale of 13.3 million units priced at $0.30 each.



Each unit consists of one common share and half of one warrant. The warrants allow holders to purchase additional shares at $0.40 per share within 24 months of issuance.



The Vancouver-based company stated it will use proceeds for exploration and development activities at its Borralha and Vila Verde tungsten projects in northern Portugal, along with general working capital purposes.



The offering requires approval from the Canadian Securities Exchange and carries a four-month hold period on all securities issued. Allied Critical Metals indicated the placement will not create new insiders or control persons.



The company may pay finder's fees up to 7% of gross proceeds and issue finder's warrants equal to 7% of units sold. These finder's warrants would be exercisable at $0.30 per unit for 24 months.



Allied Critical Metals expects to close the offering around August 13, 2025. The company owns the Borralha and Vila Verde tungsten projects, both previously producing operations in northern Portugal.



The securities have not been registered under U.S. securities laws and cannot be offered or sold in the United States without registration or applicable exemptions.
