Algoma Steel files shelf prospectus for potential securities offerings
Algoma Steel Group Inc. (NASDAQ: ASTL) filed a base shelf prospectus with the Ontario Securities Commission and a corresponding shelf registration statement on Form F-10 with the U.S. Securities and Exchange Commission on July 18, 2025.
The filings allow the Canadian steel producer to potentially offer common shares, preferred shares, debt securities, subscription receipts, units and warrants in Canada and the United States for a 25-month period. The company can make offerings in all Canadian provinces and territories except Quebec.
Algoma stated it filed the documents to maintain financial flexibility but has no present intention to pursue a capital raise in the near future. The company said it intends to use the registration statement for potential exercises of currently outstanding warrants and potential resale of certain previously registered securities.
The company noted there is no certainty any securities will be sold under the prospectus or registration statement within the 25-month effective period.
Algoma Steel, based in Sault Ste. Marie, Ontario, produces hot and cold rolled steel sheet and plate products. The company serves customers in the automotive, construction, energy, defense and manufacturing sectors and is the only producer of discrete plate products in Canada.
The base shelf prospectus is available on SEDAR+ and the registration statement can be found on the SEC's EDGAR website, according to the company's statement.
