Alaska Energy Metals plans $1M private placement and debt settlement

Alaska Energy Metals Corporation (TSXV: AEMC) announced a non-brokered private placement of up to 11,764,706 units at $0.085 per unit for gross proceeds of up to $1 million. The company filed a price protection with the TSX Venture Exchange on October 6, 2025.



Each unit consists of one common share and one share purchase warrant. The warrants allow holders to acquire additional shares at $0.085 per share for 60 months from the closing date. The company plans to use proceeds for exploration programs on mineral properties and general working capital.



Alaska Energy Metals also entered agreements to settle $599,408.70 in debt by issuing 5,994,087 common shares at a deemed price of $0.10 per share. The debt settlement includes $19,167 owed to non-arm's length parties, requiring 191,670 settlement shares.



"AEMC is sharply focused on advancing the Nikolai multi-critical mineral project in order to timely meet the supply chain needs of the US domestic economy and national defense," said President and CEO Gregory Beischer in the announcement.



All securities from both transactions will be subject to a four-month statutory hold period under Canadian securities laws. The private placement requires regulatory approvals and has no minimum subscription requirement. The company's board approved the debt settlement transactions without requiring formal valuation or minority shareholder approval.



Alaska Energy Metals focuses on the Nikolai Project in Alaska, which contains nickel, copper, cobalt, chromium, iron, platinum, palladium and gold. The company also holds the Angliers-Belleterre project in western Quebec.
