Akari Therapeutics raises $2.5 million in direct offering

Akari Therapeutics (NASDAQ: AKTX) announced a registered direct offering of 3.125 million American Depositary Shares at $0.80 per share, raising approximately $2.5 million in gross proceeds.
The biotechnology company will also issue warrants in a concurrent private placement. Series E warrants allow the purchase of up to 3.125 million ADSs at $0.98 per share with a five-year term, while Series F warrants permit the purchase of the same number of shares at the same price with a 30-month term. Both warrant series require shareholder approval before exercise.
Ladenburg Thalmann & Co. Inc. serves as the exclusive placement agent for the offering, which is expected to close on October 16, 2025.
The company stated it intends to use net proceeds for working capital, general corporate purposes, and research and development activities. Akari specifically plans to fund work on its antibody drug conjugate payload technology and prepare data for presentation at the Society for Immunotherapy Cancer Society Annual Meeting in November.
Each ADS represents 2,000 ordinary shares of the London-based company. The shares are being offered under a shelf registration statement filed with the Securities and Exchange Commission in July 2025.
Akari Therapeutics develops antibody drug conjugates for oncology applications. The company's lead candidate, AKTX-101, targets the Trop2 receptor and uses a proprietary spliceosome modulator payload designed to disrupt RNA splicing in cancer cells.
