Agereh closes $432,625 private placement of 6.4 million units

Agereh Technologies Inc. (TSXV: AUTO) (OTCQB: CRBAF) announced it has closed a non-brokered private placement, issuing 6,409,259 units at $0.0675 per unit for gross proceeds of $432,624.98.



Each unit consists of one common share and one warrant. The warrants are exercisable at $0.09 per share until November 18, 2027.



The offering was conducted under the listed issuer financing exemption and other available exemptions under Canadian securities laws. Units issued under the listed issuer financing exemption are not subject to a hold period under Canadian securities laws.



A company director participated in the offering, purchasing 250,000 units. This constituted a related party transaction under Multilateral Instrument 61-101 but was exempt from formal valuation and minority shareholder approval requirements because the insider participation did not exceed 25% of the company's market capitalization.



The company plans to use proceeds for general corporate expenses and working capital purposes. No finder's fees or commissions were paid in connection with the offering.



The transaction remains subject to final acceptance by the TSX Venture Exchange upon completion of customary post-closing filings.



Agereh is a Canadian AI technology company developing solutions for the transportation industry, including artificial intelligence platforms for financing scenario predictions.
