Aeluma prices $22.1 million public offering of common stock

Aeluma Inc. (NASDAQ: ALMU) announced it has priced an underwritten public offering of 1,700,000 shares of common stock at $13.00 per share. The semiconductor company expects gross proceeds of approximately $22.1 million before deducting underwriting discounts and other offering expenses.
The company has granted underwriters a 30-day option to purchase up to 255,000 additional shares at the public offering price, less the underwriting discount. Aeluma expects to close the offering on or about September 19, 2025, subject to customary closing conditions.
Craig-Hallum serves as sole book-running manager for the offering, with The Benchmark Company, LLC acting as co-manager.
Aeluma plans to use net proceeds for expanding business development efforts, advancing manufacturing processes to support commercialization, and working capital and general business purposes.
The offering is being conducted pursuant to a shelf registration statement on Form S-3 that was filed with the Securities and Exchange Commission on July 31, 2025, and declared effective on August 8, 2025. The company filed a preliminary prospectus supplement with the SEC on September 17, 2025.
Based in Goleta, California, Aeluma develops photonic and electronic semiconductor technologies for applications including mobile, artificial intelligence, defense and aerospace, robotics, automotive, and augmented and virtual reality markets.
