Adecoagro prices $300 million share offering at $7.25 per share

Adecoagro S.A. (NYSE: AGRO) announced the pricing of its underwritten public offering of 41,379,311 common shares at $7.25 per share, generating gross proceeds of approximately $300 million. The offering is expected to close on December 15, 2025, subject to customary closing conditions.



The company granted underwriters a 30-day option to purchase up to an additional 1,111,035 common shares. J.P. Morgan and BofA Securities serve as global coordinators and joint book-running managers, while BTG Pactual, Citigroup and Itaú BBA act as joint book-running managers.



Adecoagro's controlling shareholder, Tether Investments S.A. de C.V., agreed to purchase 30,344,827 common shares in the offering. Company management and other investors committed to purchasing an aggregate of 3,627,585 common shares at the public offering price.



The shares are being offered through an effective shelf registration statement filed with the Securities and Exchange Commission. A preliminary prospectus supplement has been filed with the SEC, with a final prospectus supplement to follow.



Adecoagro operates as a sustainable production company in South America, owning 210,400 hectares of farmland and industrial facilities across Argentina, Brazil and Uruguay. The company produces over 3.1 million tons of agricultural products and more than 1 million MWh of renewable electricity annually.
