Adecoagro launches $300 million common share offering

Adecoagro S.A. (NYSE: AGRO) announced the commencement of a public offering of $300 million of its common shares, according to a company statement. J.P. Morgan and BofA Securities will serve as global coordinators and joint book-running managers for the offering, with BTG Pactual, Citigroup and Itaú BBA acting as joint book-running managers.

The company granted underwriters the option to purchase an additional $11.1 million of common shares, exercisable within 30 days after December 11, 2025. The offering is being conducted through an effective shelf registration statement filed with the Securities and Exchange Commission.

Tether Investments S.A. de C.V., Adecoagro's controlling shareholder, indicated interest in purchasing approximately $200 million of the common shares at the public offering price. Management and other investors expressed interest in purchasing an aggregate of approximately $26 million of shares. The company noted these indications of interest are not binding commitments.

Adecoagro operates as a production company in South America, owning 210,400 hectares of farmland and industrial facilities across Argentina, Brazil and Uruguay. The company produces over 3.1 million tons of agricultural products and more than 1 million MWh of renewable electricity annually.

The Luxembourg-based company cautioned that forward-looking statements in the announcement involve risks and uncertainties that could cause actual results to differ materially from expectations.
