Abitibi Metals files prospectus for $14 million public offering
Abitibi Metals Corp. (CSE: AMQ) (OTCQB: AMQFF) (FSE: FW0) filed a final short form prospectus for a bought-deal public offering expected to raise $14 million in gross proceeds, according to a company statement.
The offering includes 11.43 million common shares priced at $0.35 each for gross proceeds of $4 million and 17.55 million flow-through shares at $0.57 per share for gross proceeds of $10 million. BMO Capital Markets serves as sole bookrunner and lead underwriter, with Haywood Securities Inc. as co-lead manager and additional underwriters including ATB Securities Inc., Desjardins Securities Inc., Paradigm Capital Inc. and Stifel Nicolaus Canada Inc.
The company expects the offering to close on or around December 16, 2025, subject to regulatory approvals and customary closing conditions. Underwriters received an over-allotment option exercisable for 30 days following closing to purchase up to 4.35 million additional shares, with the maximum not exceeding 15% of the base offering.
The prospectus qualifies the distribution of flow-through shares and subsequent redistribution of shares that purchasers may donate to registered charities or sell to other buyers arranged by underwriters at $0.35 per share. Flow-through share tax benefits apply only to original subscribers under Canadian tax law.
Abitibi Metals focuses on acquiring and exploring mineral properties in Quebec, particularly base and precious metal assets. The final prospectus is available on SEDAR+ under the company's profile.
