AIRO prices upsized public offering at $18.50 per share

AIRO Group Holdings Inc. (NASDAQ: AIRO) announced the pricing of its upsized public offering of 4,200,000 shares of common stock at $18.50 per share. The aerospace and defense technology company expects to receive gross proceeds of $77.7 million before underwriting discounts and other offering expenses.



The underwriters have a 30-day option to purchase up to 630,000 additional shares at the same price to cover over-allotments. The offering is expected to close on or about September 12, 2025, subject to customary closing conditions.



AIRO plans to use the net proceeds primarily to fund growth initiatives and pursue acquisitions of complementary businesses, products, services or technologies. The company also intends to repurchase 978,000 shares from certain stockholders at the public offering price less underwriting discounts and commissions. If underwriters exercise their over-allotment option, AIRO may repurchase up to an additional 138,312 shares from these stockholders.



Any remaining proceeds will be used for general corporate purposes, including working capital and operational needs.



Cantor serves as lead book-running manager for the offering. BTIG, Mizuho and Bancroft Capital are acting as joint book-running managers.



The U.S. Securities and Exchange Commission declared the registration statement for the offering effective on September 10, 2025. AIRO operates in four segments: Drones, Avionics, Training, and Electric Air Mobility, targeting aerospace and defense market opportunities.
