AEVEX announces public offering of 8 million shares

AEVEX Corp. (NYSE: AVEX) announced the launch of a public offering of its Class A common stock, according to a company statement. The unmanned systems company plans to offer 5,726,157 shares while certain selling stockholders will offer 2,273,843 shares.
The offering is being conducted under a registration statement filed with the Securities and Exchange Commission. AEVEX and the selling stockholders also plan to grant underwriters a 30-day option to purchase up to an additional 1.2 million shares at the public offering price, minus underwriting discounts and commissions.
Goldman Sachs & Co. LLC, BofA Securities and Jefferies are serving as joint lead bookrunning managers for the proposed offering. The company noted that the offering is subject to market and other conditions, with no assurance regarding completion timing.
AEVEX operates as a defense technology company focused on autonomous unmanned systems, AI-enabled mission software, and electronic warfare solutions for national security customers. The company is a portfolio company of Madison Dearborn Partners' funds and maintains manufacturing operations across multiple U.S. locations.
The registration statement has been filed with the SEC but has not yet become effective. Securities cannot be sold until the registration statement becomes effective. The company stated that any securities sales will comply with Securities Act of 1933 registration requirements.
