A2Z Cust2Mate prices $45 million public offering at $8 per share

A2Z Cust2Mate Solutions Corp. (NASDAQ: AZ) announced the pricing of its public offering of 5,625,000 common shares at $8.00 per share, according to a company statement. The offering was upsized and oversubscribed, with expected gross proceeds of approximately $45 million before deducting underwriting discounts and other expenses.



The offering attracted participation from institutional investors including Wellington Management, alongside other investment managers and existing shareholders. Titan Partners Group, a division of American Capital Partners, served as sole bookrunner for the offering.



The company plans to use net proceeds for continued development and expansion, including financing mass manufacturing and deployment of smart carts, marketing and sales activities, expanding retail media and data capabilities, and working capital purposes.



The offering is expected to close on or about September 18, 2025, subject to customary closing conditions. Securities are being offered under a shelf registration statement on Form F-3 that became effective on April 21, 2023.



A2Z Cust2Mate develops mobile self-checkout shopping cart technology that allows customers to scan products and pay within the cart, enabling them to bypass traditional checkout lines. The Israel-based company's smart carts feature touch screens and algorithms designed to streamline the retail shopping experience.



The securities are not being offered in Canada and may not be sold to Canadian residents. The offering is being conducted through a prospectus supplement and accompanying base prospectus filed with the Securities and Exchange Commission.
