Humankind US Stock ETF to liquidate after failing to attract assets

Humankind Investments announced the liquidation of the Humankind US Stock ETF (NYSE: HKND) after the fund failed to attract sufficient investment assets.

The fund's board of directors authorized the orderly liquidation following a recommendation from Humankind Investments LLC. The last trading day for the ETF will be December 1, 2025, which will also mark the final day for accepting creation units from authorized participants.

Shareholders can sell their holdings before the closing date, though customary brokerage charges may apply. Authorized participants may redeem baskets of shares for a pro rata portion of the fund's portfolio through December 1.

The fund expects to cease operations and distribute liquidation proceeds to shareholders on December 8, 2025. Between the closing and liquidation dates, shareholders may only be able to sell shares to certain broker-dealers, with no assurance of an active market during this period.

During the liquidation process, the fund will increase its cash holdings and will not track its stated investment objective. Shareholders remaining on December 8 will receive cash at the net asset value of their shares as of that date, including any capital gains and dividends.

The liquidating distribution will be treated as payment in exchange for shares and may constitute a taxable event for shareholders. The company advised shareholders to consult tax advisors regarding potential income tax consequences.

Humankind Investments LLC serves as investment adviser to the fund and receives a management fee for its services. The company was founded to provide investors with ways to invest in a manner that generates returns while considering impacts on humanity.
