Guaranty Bancshares, Inc. (NYSE: GNTY) declared a special cash dividend of $2.30 per share, payable September 23, 2025, to shareholders of record as of September 19, 2025. The dividend relates to the company's previously announced merger with Glacier Bancorp, Inc.
Guaranty Bancshares shareholders approved the merger agreement at a special meeting held September 17, 2025. The merger agreement was originally signed June 24, 2025, and involves Guaranty Bancshares merging with Glacier Bancorp, with Glacier Bancorp surviving the transaction.
The companies expect the merger to close October 1, 2025, subject to satisfaction of closing conditions outlined in the merger agreement.
Guaranty Bancshares operates as the parent company of Guaranty Bank & Trust, N.A., which has 33 banking locations across 26 Texas communities in the East Texas, Dallas/Fort Worth, Houston and Central Texas regions. As of June 30, 2025, the company reported total assets of $3.1 billion, total loans of $2.1 billion and total deposits of $2.7 billion.
