VCI Global signs term sheet for Brazil gold mining investment

VCI Global Limited (NASDAQ: VCIG) announced it has entered a binding term sheet for a strategic investment in a gold mining asset located in Brazil's established gold-producing region.

The asset contains an estimated 59.9 tonnes of gold resources, equivalent to approximately 1.9 million ounces, according to preliminary technical information. The company noted this estimate requires further technical validation, independent verification, and compliance with applicable mineral resource reporting standards.

Under the term sheet, VCI Global plans to make an initial investment and serve as Engineering, Procurement, and Construction partner, subject to definitive agreements. The company retains an option to increase its ownership interest to up to 51%, contingent on meeting agreed conditions and milestones.

The project remains in early development stages. Any progression toward development, construction, or production will depend on technical assessments, permitting, financing arrangements, and operational execution. The company stated there can be no assurance regarding timing, development outcomes, or commercial viability.

The investment aligns with VCI Global's capital allocation strategy and evaluation of real-world asset initiatives and digital asset infrastructure. The company continues to assess how physical commodity-linked assets like gold may interface with structured financial frameworks under its RWA-focused initiatives.

VCI Global expects to support the transaction through a phased capital deployment plan, which may include funding for technical studies and development activities. The identity of the asset and counterparties has not been disclosed for strategic reasons.
