DDC Enterprise files $500 million shelf registration for bitcoin strategy

DDC Enterprise Limited (NYSE: DDC) filed a $500 million universal shelf registration statement with the Securities and Exchange Commission, according to a shareholder letter from CEO Norma Chu.
The company secured a capital commitment of up to $528 million, with $53 million in initial funding from investors including Anson Funds, Animoca Brands, and Kenetic Capital. DDC began purchasing bitcoin 60 days ago as part of its treasury strategy.
Chu outlined targets to accumulate 10,000 bitcoin by the end of 2025 and position DDC as a top three bitcoin treasury company within three years. The F-3 shelf registration provides flexibility to access capital markets for bitcoin acquisitions and other initiatives.
The company describes itself as combining a bitcoin treasury strategy with its existing Asian food platform business. DDC plans to use private transactions, derivatives, and yield-enhancing opportunities for its bitcoin accumulation approach.
The shelf registration does not indicate immediate fundraising plans but establishes framework for future capital raising when opportunities arise. DDC Enterprise operates as a global Asian food platform while positioning bitcoin as a core reserve asset.
