ZEEKR shareholders approve Geely merger agreement

ZEEKR Intelligent Technology Holding Limited (NYSE: ZK) announced that shareholders voted to approve a merger agreement with Geely Automobile Holdings Limited at an extraordinary general meeting held September 15, 2025.

The merger agreement, dated July 15, 2025, involves Keystone Mergersub Limited, a wholly-owned subsidiary of Geely, merging with ZEEKR. Upon completion, ZEEKR would become a wholly-owned subsidiary of Geely and transition to a privately held company.

Approximately 96.8% of ZEEKR's total outstanding ordinary shares voted at the meeting, representing the same percentage of total outstanding votes as of the August 14, 2025 record date. The merger agreement received approval from approximately 94.2% of votes cast.

The merger remains subject to satisfaction or waiver of conditions outlined in the merger agreement. ZEEKR stated it will work with other parties to satisfy remaining conditions and complete the merger.

If completed, ZEEKR's American depositary shares will no longer trade on the New York Stock Exchange, and the ADS program for the company's ordinary shares will terminate. Each ZEEKR ADS represents ten ordinary shares of the company.

ZEEKR Group, headquartered in Zhejiang, China, operates two brands: Lynk & Co and Zeekr. The company develops software systems, e-powertrain technology, and electric vehicle supply chains.
