Senseonics acquires Eversense distribution rights from Ascensia

Senseonics Holdings Inc. (NYSE: SENS) completed the acquisition of U.S. marketing and distribution rights for the Eversense continuous glucose monitoring system from Ascensia Diabetes Care Holdings AG on January 1, 2026.

The company paid approximately $1.1 million for the U.S. assets, which include inventory, prepaid software licenses and certain lease agreements. The transaction closed following a master asset purchase agreement executed December 31, 2025.

Senseonics also plans to acquire similar commercial rights for the Eversense system in Italy, Germany, Spain and Sweden. These European transactions remain subject to negotiation of local purchase agreements, which the parties expect to complete in January 2026. The European acquisitions would close by June 30, 2026.

The U.S. transaction includes the transfer of certain employees to Senseonics through new employment agreements. The company assumed specific liabilities related to the acquired assets, including contract obligations and employee-related responsibilities.

Payment amounts for the European transactions will be determined based on the value of acquired assets, primarily inventory, according to the agreement terms. Each European closing requires regulatory clearances and completion of labor processes.

The master asset purchase agreement contains standard representations, warranties and conditions. Both parties agreed to cooperation provisions and restrictions on soliciting competing acquisition offers during the transaction period.
