Sealed Air stockholders approve CD&R acquisition

Sealed Air Corporation (NYSE: SEE) stockholders voted to approve the company's pending acquisition by an affiliate of CD&R at a special meeting held February 25, 2026, according to a company statement.

The Charlotte, North Carolina-based packaging solutions provider said stockholders voted in favor of all proposals related to the transaction. "We are pleased with the results of the special meeting and we thank our stockholders for their strong support for this transaction," said Dustin Semach, Chief Executive Officer of Sealed Air.

The transaction closing remains subject to customary conditions, including receipt of required regulatory approvals. Sealed Air will file detailed voting results with the Securities and Exchange Commission in a Form 8-K.

Sealed Air generates packaging solutions for food preservation, product protection and automated packaging processes. The company reported $5.4 billion in sales for 2024 and employs approximately 16,400 people serving customers across 117 countries and territories.

The company's solution brands include CRYOVAC food packaging, SEALED AIR protective packaging, LIQUIBOX liquids systems, AUTOBAG automated packaging systems, and BUBBLE WRAP packaging.
