Safe & Green Holdings Corp. (NASDAQ: SGBX) announced it has received confirmation from NASDAQ that the company has regained compliance with all applicable listing requirements, including the Minimum Bid Price Rule.
NASDAQ determined the company regained compliance with the rule requiring common stock to maintain a minimum bid price of $1.00 per share for at least ten consecutive business days. The matter closed on October 3, 2025.
The company restructured its agreement with Boral, reducing potential dilution by 80% and removing Ace warrants. This addressed NASDAQ's public interest concern regarding the potential issuance of more than one billion shares. A reverse stock split further reduced dilution by 64%.
