SEC approves Infleqtion merger with Churchill Capital Corp X
Quantum technology company Infleqtion announced that the Securities and Exchange Commission declared effective its joint registration statement on Form S-4 with Churchill Capital Corp X (NASDAQ: CCCX) for their proposed business combination on January 23, 2026.
Churchill Capital Corp X has scheduled an extraordinary general meeting for February 12, 2026, for shareholders to vote on the proposed merger and related matters. The transaction is expected to deliver over $540 million in gross proceeds, assuming no redemptions by Churchill X shareholders, according to the company's statement.
Infleqtion develops quantum computers, precision sensors, and software for government, enterprise, and research customers using neutral-atom technology. The company's customer base includes the U.S. Department of War, NASA, and the U.K. government.
The funding includes more than $125 million of incremental capital raised through a common stock PIPE investment from institutional investors. Infleqtion stated the proceeds will accelerate its technology development and product commercialization across artificial intelligence, national security, and space applications.
The company reported achieving 12 logical qubits with error detection and loss correction, surpassing its 2026 target. Infleqtion aims to deliver 1,000 logical qubits by 2030. The company also expanded its collaboration with NVIDIA and demonstrated quantum optical clock technology for underwater navigation in partnership with the Royal Navy.
Upon closing, the combined company will operate as Infleqtion, Inc. and expects to list on the New York Stock Exchange under ticker symbol "INFQ." The merger remains subject to Churchill X shareholder approval and other customary closing conditions. The transaction is expected to close in the first quarter of 2026.
Infleqtion claims it will become the first publicly listed neutral-atom quantum technology company and the only public company with commercial operations across both quantum computing and precision sensing upon completion of the merger.
