RoboStrategy raises $16M in private share issuances
RoboStrategy, Inc. (Nasdaq: BOT), a registered closed-end fund focused on private robotics and physical AI companies, completed a series of private share issuances between July 7 and July 14, 2026, raising gross proceeds of approximately $16.0 million.
The fund issued 450,684 shares of common stock at a weighted average price of approximately $35.50 per share. No placement fees or commissions were paid in connection with the transactions.
Chief Executive Officer Andrew Kang invested approximately $10.0 million of his own capital, acquiring 272,405 shares on July 14, 2026, at $36.71 per share, which was the closing price of the fund's common stock on Nasdaq that day. The fund's independent directors reviewed and approved Kang's participation in accordance with the fund's policies and applicable regulatory requirements.
The shares were issued under exemptions from registration pursuant to Section 4(a)(2) of the Securities Act of 1933 and Regulation D. The fund said it intends to file a registration statement covering the resale of the shares, including those issued to Kang.
RoboStrategy said it plans to continue raising capital through privately negotiated share issuances as it deploys capital into venture-capital-backed robotics and AI companies.
