Orangekloud Technology delays merger agreement with VeVe

Orangekloud Technology Inc. (NASDAQ: ORKT) announced that its proposed merger with Orbis Technology Limited requires additional time to finalize terms, extending beyond the previously targeted February 28 completion date for a definitive agreement.

The Singapore-based technology company entered into a non-binding letter of intent with Orbis in February 2026. Orbis operates VeVe, a digital marketplace for licensed digital assets, as its consumer-facing brand.

Both parties continue active discussions and negotiations while remaining committed to the proposed transaction, according to the company's statement. Orangekloud indicated that management believes the discussions remain constructive and expects to complete the negotiation process in the near term.

The company stated it will provide updates upon execution of a definitive agreement or other material developments in the merger process.

Orangekloud develops mobile applications through its eMOBIQ No-Code platform, targeting small and medium enterprises and corporations across sectors including food services, manufacturing, precision engineering, and construction.
