Nebius Group shareholders approve all AGM resolutions

Nebius Group N.V. (Nasdaq: NBIS) announced that shareholders approved all 16 resolutions presented at the company's Annual General Meeting held on August 25, 2026, in Amsterdam.
The meeting involved 238,402,543 Class A shares, each carrying one vote, and 33,455,053 Class B shares, each carrying ten votes, for a combined total of 572,953,073 voting rights. Both share classes voted together as a single class on all matters.
Among the resolutions passed, shareholders approved the adoption of the 2025 accounts, granted the board authority to issue Class A shares up to an additional 20% of issued share capital for a period of five years, and authorized the board to exclude pre-emptive rights of existing shareholders for the same period.
Shareholders also authorized the board for 18 months to repurchase shares up to 20% of issued share capital, and approved the cancellation of 2,243,621 Class C shares held in treasury.
The board of directors was re-appointed in full, including executive directors Arkady Volozh and Ophir Nave, and non-executive directors John Boynton, Elena Bunina, Arne Grimme, Kira Radinsky, Charles Ryan, and Matthew Weigand. The re-appointment of Volozh drew the most opposition among board votes, with 21,732,302 votes against out of approximately 403 million cast.
Shareholders also approved the appointment of auditors, with 402,937,752 votes in favor and only 59,723 against.
