Mynd.ai receives NYSE American non-compliance notice

Mynd.ai, Inc. (NYSE American: MYND) received a notice from NYSE American on June 2, 2026, indicating the company does not meet continued listing standards due to insufficient stockholders' equity.

The company reported a stockholders' deficit of $17.5 million as of December 31, 2025, and has recorded losses in three of its four most recent fiscal years. NYSE American requires companies with such loss patterns to maintain stockholders' equity of at least $4 million.

Under NYSE American's Company Guide sections 1003(a)(i) and 1003(a)(ii), companies must have stockholders' equity of $2 million if they reported losses in two of three recent fiscal years, or $4 million if losses occurred in three of four recent fiscal years. Mynd.ai currently qualifies for neither exemption available under section 1003(a).

The company must submit a compliance plan by July 2, 2026, outlining actions to regain compliance by December 2, 2027. The company stated it intends to submit such a plan by the deadline.

Mynd.ai's shares will continue trading on NYSE American during the cure period, provided the company maintains compliance with other listing requirements. If the company fails to submit an acceptable plan or does not achieve compliance by the deadline, delisting proceedings may commence.
