Matinas BioPharma gets NYSE American compliance notice

Matinas BioPharma Holdings, Inc. (NYSE American: MTNB) announced it received a notice from NYSE American on June 24, 2026, stating the company is not in compliance with continued listing standards under Section 1003(a)(ii) of the NYSE American Company Guide, which requires stockholders' equity of at least $4.0 million for companies that have reported losses from continuing operations and/or net losses in three of their four most recent fiscal years.

As of March 31, 2026, Matinas BioPharma had stockholders' equity of $3.02 million. The company has reported losses in each of the five most recent fiscal years ended December 31, 2025.

The company was previously disclosed as non-compliant with Section 1003(a)(iii), which requires stockholders' equity of at least $6.0 million for companies with losses in five consecutive fiscal years. As of December 31, 2025, stockholders' equity stood at $4.83 million.

NYSE American accepted a compliance plan submitted by the company on May 4, 2026, and granted a plan period through October 2, 2027. During this period, the company will remain listed on NYSE American and subject to periodic reviews, including quarterly monitoring. If the company fails to regain compliance by the deadline or does not make sufficient progress, NYSE American may initiate delisting proceedings. The company may appeal any such determination under Section 1010 and Part 12 of the Company Guide.

The notice does not have an immediate effect on the trading of the company's common stock and does not affect its ongoing business operations or reporting obligations to the Securities and Exchange Commission.
