MarineMax responds to Donerail Group's acquisition interest

MarineMax Inc. (NYSE: HZO) issued a statement addressing a public letter from The Donerail Group, which recently made an unsolicited indication of interest to acquire the recreational boat retailer.

The company disputed Donerail's claim that MarineMax has not engaged productively, stating it has maintained "active and ongoing dialogue" with the investment group. MarineMax said this engagement included in-person meetings and a site visit to its Clearwater, Florida operations.

Following Donerail's acquisition indication, MarineMax said its board promptly responded with questions about funding sources and execution certainty. The board stated it will continue reviewing Donerail's proposal with independent financial and legal advisors.

MarineMax defended its performance, citing total shareholder return outperformance relative to competitor OneWater Marine Inc. over multiple time periods. The company acknowledged impacts from macroeconomic factors including softer retail demand, higher interest rates, and geopolitical instability.

The board expressed unanimous support for CEO Brett McGill, who was appointed in 2018. Under his leadership, the company said it has more than doubled revenue and adjusted EBITDA while maintaining gross margins above 30% for 21 consecutive quarters.

MarineMax highlighted recent board refreshment efforts, adding five new independent directors since 2021, including technology executive Daniel Schiappa and payments software CEO Odilon Almeida. Seven directors have transitioned off the board since 2024.

The company operates over 120 locations worldwide, including more than 70 dealerships and over 65 marina and storage facilities. Its integrated business includes IGY Marinas, Fraser Yachts Group, Northrop & Johnson, Cruisers Yachts, and Intrepid Powerboats.
