MIRA Pharmaceuticals shareholders approve SKNY acquisition

MIRA Pharmaceuticals, Inc. (NASDAQ: MIRA) announced that shareholders approved the acquisition of SKNY Pharmaceuticals at the company's 2025 Annual Meeting of Stockholders. The transaction is expected to close shortly, subject to customary closing conditions.
Under the agreement, SKNY shareholders will receive MIRA common stock in exchange for their SKNY shares. SKNY will contribute $5 million in assets or cash to MIRA at closing. Independent valuation by Moore Financial Consulting assigned enterprise values of approximately $30.5 million to SKNY and $30 million to MIRA, supporting a combined enterprise value exceeding $60 million.
The acquisition centers on SKNY-1, an oral drug candidate targeting the endocannabinoid system through CB1 and CB2 receptors and MAO-B modulation for obesity and smoking cessation treatment. Preclinical studies showed up to 30% body weight reduction in animal models with muscle mass preservation, and reversal of nicotine and high-calorie food cravings.
Studies by Eurofins demonstrated that SKNY-1 selectively blocks β-arrestin signaling of CB1 receptors while preserving G-protein signaling, designed to reduce food intake and body weight without mood destabilization. The compound also reversed CB1-induced anxiety-like behavior in animal models.
"We believe SKNY-1 could be a best-in-class oral therapy for two of the leading causes of preventable death-obesity and nicotine addiction," said Erez Aminov, Chief Executive Officer of MIRA.
The global obesity therapeutics market is projected to exceed $150 billion by the early 2030s, while the U.S. smoking cessation market is forecast to grow from $28 billion in 2024 to approximately $50.9 billion by 2030.
