Jasper Therapeutics completes Kira acquisition, raises $132M

Jasper Therapeutics (Nasdaq: JSPR) has completed its acquisition of Kira Pharmaceuticals in an all-stock transaction, according to a press release. Concurrent with the deal, Jasper raised approximately $132 million through a private placement of non-voting convertible preferred stock.
The private placement was co-led by Affinity Asset Advisors and Ikarian Capital, with participation from Columbia Threadneedle Investments, Balyasny Asset Management, Mirador Therapeutics, and other investors. The offering is expected to close July 20, 2026.
As part of the transaction, Kira out-licensed two assets — KP-301, a long-acting anti-C5a monoclonal antibody, and KP-402, a small molecule C5a receptor antagonist — to Mirador Therapeutics for a $12 million upfront payment, plus potential development and sales milestone payments.
The combined company's pipeline includes KP-104, a dual-complement inhibitor targeting paroxysmal nocturnal hemoglobinuria and certain nephrology disorders; briquilimab, an anti-KIT antibody being advanced in Severe Combined Immunodeficiency; and KP-701, a preclinical anti-CD79BxCD32B monoclonal antibody. Interim Phase 2 data for KP-104 in rare renal indications is expected in the fourth quarter of 2026.
Under the ownership structure resulting from the transactions, former Jasper stockholders will hold approximately 6.68% of common stock, former Kira equityholders approximately 49.86%, and private placement investors approximately 43.46%, on a fully diluted, as-converted basis. Total shares outstanding on an as-converted basis would be approximately 653.6 million.
Existing Jasper common stockholders received contingent value rights entitling them to an aggregate of $30 million if Jasper obtains a priority review voucher for briquilimab by December 31, 2028, payable upon monetization of the voucher or an acquisition of the combined company.
The combined company expects its cash position to fund operations through the second half of 2028. Jasper will continue trading on Nasdaq under the ticker symbol JSPR.
