Hyperscale Data secures $15 million advance from Yorkville

Hyperscale Data, Inc. (NYSE American: GPUS) announced it entered into a Pre-Paid Advance Agreement with YA II PN, Ltd., a Cayman Islands exempt limited partnership known as Yorkville.

Under the agreement, Yorkville provided a $15,958,000 principal advance to the artificial intelligence data center company, subject to a 6% discount for an actual commitment of $15,000,520. The advance carries a 4% annual interest rate and must be repaid by December 10, 2027.

The company plans to use proceeds partially for developing its Michigan data center campus and general corporate purposes.

The agreement includes provisions allowing Yorkville to request Hyperscale Data issue and sell Class A common stock shares to offset the outstanding advance balance. The stock price would be the lower of $0.2153 or 90% of the lowest daily volume weighted average price during five consecutive trading days before Yorkville's purchase notice, with a minimum price of $0.10 per share.

Hyperscale Data operates through wholly owned subsidiary Sentinum, Inc., which owns and operates a data center for digital asset mining and provides colocation and hosting services. The company also owns Ault Capital Group, Inc., a diversified holding company it expects to divest in the second quarter of 2027.

The company is headquartered in Las Vegas, Nevada.
