Hyperscale Data completes $125 million equity program

Hyperscale Data, Inc. (NYSE American: GPUS) announced the completion of its at-the-market equity program, raising $125 million in gross proceeds through the sale of 255,490,454 shares of Class A common stock.

The artificial intelligence data center company operates facilities in Michigan and Montana, combining GPU servers for AI computing with Bitcoin mining operations. The company operates its main campus in Michigan, where NVIDIA GPU servers and Bitmain Bitcoin miners function as parallel compute networks.

Milton "Todd" Ault III, founder and executive chairman, stated the company continues adding Bitcoin to its balance sheet over time and builds long-term value through patience and scale. Chief Executive Officer William B. Horne said the company has invested in its core strategy for eight years.

Based on current hashrate and network dynamics, Hyperscale Data expects its Bitcoin holdings to exceed $100 million within the next quarter, according to the press release. The company positions Bitcoin as a treasury asset rather than a trading instrument.

The completed equity program enables the company to maintain compliance with NYSE American listing requirements. Hyperscale Data stated it is capitalized for current expansion initiatives and expects to fund continued growth through operating cash flow and strategic financing activities.

The company operates through wholly owned subsidiary Sentinum, Inc., which provides colocation and hosting services for AI ecosystems. Another subsidiary, Ault Capital Group, Inc., is planned for divestiture in the second quarter of 2026.

Hyperscale Data issued one million shares of Series F Exchangeable Preferred Stock to common stockholders and Series C Preferred Stock holders on December 23, 2024. The divestiture will occur through voluntary exchange of these preferred shares for ACG shares.
