Gulf Island shareholders approve IES Holdings acquisition

Gulf Island Fabrication, Inc. (NASDAQ: GIFI) announced that shareholders approved the company's acquisition by IES Holdings, Inc. at a special meeting held January 13, 2026. The parties intend to complete the merger on January 16, 2026, subject to satisfaction or waiver of remaining customary closing conditions outlined in the merger agreement.
Upon completion of the merger, Gulf Island's common stock will no longer be publicly traded and will be delisted from Nasdaq, according to the company's statement.
Gulf Island operates as a steel fabricator and service provider to industrial, energy and government sectors. The company is headquartered in The Woodlands, Texas, with primary operating facilities located in Houma, Louisiana and Houston, Texas.
The company serves customers including U.S. and international energy producers, refining and petrochemical operators, LNG facilities, industrial and power operators, EPC companies, and federal, state and local governments. Gulf Island provides steel structure fabrication, modules, automation systems, engineering, project management, commissioning, repair, maintenance, scaffolding, coatings, welding enclosures, cleaning and environmental services, and technical field services.
