GameStop announces warrant dividend to shareholders

GameStop Corp. (NYSE: GME) announced a dividend distribution of warrants to shareholders, with a record date of October 3, 2025, according to a company press release.
Shareholders will receive one warrant for every ten shares of common stock held as of the record date, rounded down to the nearest whole warrant. The company expects to distribute approximately 59 million warrants on October 7, 2025.
Each warrant allows the holder to purchase one share of common stock at an exercise price of $32.00. The warrants can be exercised at any time following the distribution date until they expire on October 30, 2026. Exercise requires cash payment of the exercise price.
The warrants are expected to be tradable and listed on the New York Stock Exchange under the ticker GME WS following the distribution date. Recipients can trade or exercise warrants regardless of whether they continue to hold GameStop shares.
Holders of GameStop's Convertible Senior Notes due 2030 and 2032 will also receive warrants based on their note holdings. Holders of the 2030 Notes will receive 3.34970 warrants per $1,000 face amount, while holders of the 2032 Notes will receive 3.45872 warrants per $1,000 face amount.
If all warrants are exercised, GameStop expects to generate approximately $1.9 billion in gross proceeds. The company stated it intends to use these funds for general corporate purposes, including investments consistent with its Investment Policy and potential acquisitions.
The warrant distribution requires no action from shareholders or noteholders and involves no cash payment or other consideration from recipients.
