EVA Live Inc. (NASDAQ: GOAI) announced it reached terms for a definitive agreement to hold a 51% ownership interest in Spiro Senior Living and related operating entities. The transaction documentation is expected to be completed around July 1.

The agreement establishes EVA's controlling interest in Spiro Senior's healthcare operations, technology platform, and digital infrastructure. Spiro Senior has opened three senior healthcare facilities and is expanding through its relationship with Meridian Senior Living.

"Reaching terms on this structure represents an important milestone for EVA and its shareholders," said David Boulette, CEO of EVA Live. "Spiro provides EVA with resources to assist in rapid and controlled growth in the senior living market, creating new opportunities for and long-term value creation."

All three facilities are currently treating patients and generating revenue, according to the company. EVA plans to address communication inefficiencies in senior care through an AI-enabled engagement ecosystem designed to improve coordination and quality of care.

The platform is expected to generate recurring revenue through software subscriptions, healthcare integrations, and digital care services. Chris Fox, CEO of Spiro, said the partnership reflects the company's belief in EVA Live's long-term potential.

EVA Live is an artificial intelligence-driven technology company focused on digital advertising automation and customer acquisition solutions. Spiro Senior operates as an integrated senior healthcare platform combining clinical services with AI-powered applications.

The information is based on a company press release.
