ESSA Pharma shareholders approve acquisition by XenoTherapeutics

ESSA Pharma Inc. (NASDAQ: EPIX) shareholders approved the acquisition of the pharmaceutical company by XenoTherapeutics Inc., a non-profit biotechnology organization, according to a company statement.
The special resolution received approval from 99.83% of shareholders voting at a special meeting held October 6, 2025. When including holders of stock options and warrants, 99.85% of securityholders voted in favor of the transaction.
Shareholders also approved executive compensation related to the acquisition by 99.51% of votes cast. In the event the arrangement is terminated, shareholders voted 99.77% in favor of voluntary liquidation and dissolution of the company, and 99.79% approved the appointment of PricewaterhouseCoopers LLP as liquidator.
The acquisition requires approval from the Supreme Court of British Columbia and other closing conditions. The court hearing for final approval is scheduled for October 7, 2025, with transaction completion expected around October 9, 2025.
ESSA Pharma previously focused on developing therapies for prostate cancer treatment. XenoTherapeutics is a Massachusetts-based 501(c)(3) research foundation that focuses on advancing xenotransplantation through scientific research and clinical development.
The transaction is structured as a statutory plan of arrangement under which XenoTherapeutics will acquire all outstanding common shares of ESSA Pharma.
