Douglas Dynamics acquires Venco Venturo Industries assets

Douglas Dynamics Inc. (NYSE: PLOW) completed the acquisition of substantially all assets of Venco Venturo Industries LLC, a provider of truck-mounted service cranes and dump hoists, according to a company statement.

The acquired company, founded in 1952 and operated by the Collins family for more than 70 years, manufactures electric light-duty cranes, electric-hydraulic cranes, hydraulic cranes, and conversion/dump hoists for work trucks. Venco Venturo employs 70 people across two facilities in Sharonville, Ohio, serving customers throughout the United States.

Mark Van Genderen, president and CEO of Douglas Dynamics, said the acquisition represents a step in executing the company's Activate strategic pillar, which focuses on acquiring complex attachments to diversify its portfolio.

Douglas Dynamics expects the acquisition to be modestly accretive to earnings per share and free cash flow positive before synergies in 2026. Venco Venturo will operate as a division of the Work Truck Attachments segment under Chris Bernauer, president of Work Truck Attachments.

The company did not disclose financial terms of the transaction. Hanley, Hamill, Thomas, Inc. and D.A. Davidson & Co. served as financial advisors, while Foley & Lardner LLP provided legal counsel to Douglas Dynamics.

Douglas Dynamics manufactures and upfits commercial work truck attachments and equipment in North America. The company's product portfolio includes snow and ice control equipment sold under the FISHER, SNOWEX and WESTERN brands, as well as upfit attachments and storage solutions under the HENDERSON and DEJANA brands.
