Diginex proposes $1.5 billion acquisition of Resulticks

Diginex Limited (NASDAQ: DGNX) announced a proposed acquisition of Resulticks Global Companies Pte. Limited at an implied valuation of approximately $1.5 billion in an all-share transaction, according to a company statement.

The London-based ESG and compliance solutions provider said Resulticks is expected to contribute approximately $150 million in annual revenue and $46-50 million in EBITDA. The acquisition would transform Diginex from a standalone sustainability platform into an integrated customer engagement and intelligence platform.

Resulticks operates a real-time customer engagement and decisioning platform that serves enterprises across financial services, telecom, and retail industries. The platform combines identity resolution, decisioning, and execution capabilities.

The proposed combination would extend Diginex's platform beyond data collection and reporting into real-time decisioning and execution, enabling enterprises to activate data across compliance, risk, and customer engagement functions.

Diginex stated it hopes to conclude the transaction within 30 days but noted there is no assurance the parties will ultimately close the deal. The all-share structure reflects long-term alignment between the companies.

The company said the integration addresses a gap between ESG data and customer engagement, as consumer segments increasingly factor sustainability into purchasing decisions. The combined platform would allow enterprises to embed ESG signals directly into customer interactions.

Diginex provides ESG, sustainability, and compliance solutions using blockchain, AI, and data analytics. Its platform supports 19 global frameworks including GRI, SASB, and TCFD.
