Diamond Hill shareholders approve First Eagle acquisition
Diamond Hill Investment Group Inc. (NASDAQ: DHIL) announced it has received shareholder approval for its proposed acquisition by First Eagle Investment Management LLC. The company stated it will file final voting results with the Securities and Exchange Commission on Form 8-K.
The transaction is expected to close in the second quarter of 2026, pending satisfaction of remaining conditions including receipt of client consents based on revenue run-rate. Upon completion, Diamond Hill will become a wholly-owned subsidiary of First Eagle and its shares will no longer trade on Nasdaq.
Columbus, Ohio-based Diamond Hill manages $31.0 billion in assets under management and advisement as of December 31, 2025. The investment management firm operates strategies including U.S. and international equity, alternative long-short equity and fixed income.
First Eagle, headquartered in New York, is an independent investment management firm with approximately $181 billion in assets under management as of December 31, 2025. The company focuses on equity, fixed income, alternative credit and multi-asset strategies.
Broadhaven Capital Partners serves as financial advisor to Diamond Hill, with Davis Polk & Wardwell LLP and Vorys, Sater, Seymour & Pease LLP as legal advisors. UBS Investment Bank acts as financial advisor to First Eagle, with Willkie Farr & Gallagher LLP serving as legal counsel.
