China Fund shareholders approve liquidation and dissolution

The China Fund, Inc. (NYSE: CHN) announced that shareholders approved the liquidation and dissolution of the closed-end investment fund at a special meeting held on October 21, 2025.

The fund will liquidate its portfolio to prepare for cash distributions to shareholders. Once liquidation begins, the fund will cease pursuing its investment objective and normal business activities, focusing solely on winding up operations and distributing remaining assets.

The fund plans to close its share books at the close of business on October 29, 2025, which will serve as the determination date for shareholders' proportionate interests in fund assets. The fund expects this date will also mark the last day of secondary market trading, with shares ceasing to trade on the New York Stock Exchange before markets open on October 30, 2025.

The fund anticipates making a primary distribution of liquidation proceeds to stockholders on October 31, 2025. Additional liquidating distributions may follow as necessary. Upon the final distribution, all outstanding shares will be redeemed without redemption fees.

Liquidation proceeds will equal the fund's net asset value after paying all charges, taxes, expenses and liabilities, including costs associated with the liquidation process.

The fund noted that the liquidation will generally constitute a taxable event for U.S. federal income tax purposes. Shareholders will typically realize capital gains or losses equal to the difference between liquidation distributions received and their adjusted basis in the fund shares.

The China Fund is managed by Matthews International Capital Management, LLC. The fund trades on the New York Stock Exchange as a closed-end management investment company.
