CenterPoint Energy announces debt tender offer pricing

CenterPoint Energy, Inc. (NYSE: CNP) announced pricing details for its previously disclosed cash tender offers targeting up to $500 million in aggregate debt securities from the company and its subsidiary CenterPoint Energy Houston Electric, LLC.

The tender offers include up to $300 million of CenterPoint Energy notes across three series: 3.70% Senior Notes due 2049, 2.65% Senior Notes due 2031, and 2.95% Senior Notes due 2030. Additionally, the company seeks up to $200 million of CEHE bonds comprising 4.25% General Mortgage Bonds due 2049 and 4.50% General Mortgage Bonds due 2044.

Total consideration ranges from $739.17 to $950.13 per $1,000 principal amount for the various securities, with yields ranging from 4.202% to 5.714%. The pricing was determined using fixed spreads of 50 to 100 basis points over U.S. Treasury reference securities.

Due to excess demand, CenterPoint Energy expects to implement proration for certain securities. The 2.95% Senior Notes due 2030 will be accepted with approximately 12.8% proration, while the 4.50% General Mortgage Bonds due 2044 will have approximately 3.5% proration.

The early tender deadline is October 1, 2025, at 5:00 p.m. New York time. Securities tendered by this date will receive an additional $30 per $1,000 principal amount early tender payment. Settlement is expected October 6, 2025.

The tender offers expire October 17, 2025, though the company expects to reach its purchase limit by the early settlement date. TD Securities (USA) LLC serves as dealer manager, with Global Bondholder Services Corporation acting as depositary and information agent.
