Canagold Resources closes $9.2M financing round
Canagold Resources Ltd. (TSX: CCM) completed a $9.2 million financing round through the sale of common shares and flow-through shares, according to a company statement.
The Vancouver-based gold exploration company issued 9.4 million common shares at $0.45 each and 10 million flow-through shares at $0.50 each, generating gross proceeds of $9,228,456.50.
Proceeds from the common shares will fund working capital, administrative expenses and project development. The flow-through share proceeds will finance Canadian exploration expenses at the company's New Polaris project, qualifying for specific tax benefits under Canadian income tax regulations.
Sun Valley Investments AG purchased 5 million flow-through shares and 4.7 million common shares in the offering. Following the transaction, Sun Valley owns 103.2 million shares, representing 48.25% of Canagold's outstanding common stock, compared to 48.07% before the financing.
The Toronto Stock Exchange provided conditional approval for the offering on January 22, 2026, with final approval pending. The shares carry a hold period until June 14, 2026.
No finder's fees were paid in connection with the transaction. The company classified the offering as a related party transaction due to Sun Valley's insider status but relied on regulatory exemptions since the purchased shares represent less than 25% of the company's market capitalization.
Canagold focuses on advancing its New Polaris Project through feasibility studies and permitting while seeking additional advanced project acquisitions.
