Cadrenal Therapeutics CMO resigns, separation terms disclosed

Cadrenal Therapeutics (NASDAQ: CVKD) has entered into a separation agreement with James J. Ferguson III, its Chief Medical Officer, following his resignation announced July 7, 2026.

According to a company statement, Dr. Ferguson notified the board of his decision to resign effective July 31, 2026. The separation agreement, dated July 9, 2026, was formally entered into on July 14, 2026.

Under the terms of the agreement, Dr. Ferguson will receive his current salary through his last day, reimbursement of approved business expenses, and up to six months of COBRA health insurance premium payments, provided he remains eligible and does not obtain coverage through a new employer.

The agreement includes a general release of claims against the company and its officers, directors, employees, and agents, as well as a non-disparagement clause. Dr. Ferguson has a seven-day window to revoke the agreement after signing, and a second release must be executed on the separation date before the company's COBRA payment obligations begin.

Cadrenal Therapeutics said it is conducting a search for a replacement Chief Medical Officer.
