Bending Spoons secures €500M SACE-backed loan facility

Bending Spoons S.p.A. (NASDAQ: BSP) has entered into a €500 million medium-to-long-term loan facility backed by a guarantee from SACE, Italy's state-owned export credit agency, according to a company press release.

The facility was arranged by HSBC Continental Europe as sole coordinator and mandated lead arranger, Intesa Sanpaolo S.p.A. as SACE agent and mandated lead arranger, and BPER Banca Corporate & Investment Banking as structuring advisor and mandated lead arranger. The loan matures in March 2031.

The €500 million facility is part of a broader financing push. Combined with €495 million in additional term loan A financing and a €490 million increase in commitments under Bending Spoons' revolving credit facility, the company has agreed to €1.49 billion in new and expanded facilities since the start of the second quarter. All facilities mature in March 2031 and are available for general corporate purposes and acquisitions.

Davide Scarpazza, co-chief financial officer of Bending Spoons, said the arrangements "enhance our capital resources and provide additional financial flexibility," adding that the company remains focused on "deploying capital in a disciplined way to generate attractive risk-adjusted returns, primarily through acquisitions."

SACE Chief Executive Michele Pignotti described Bending Spoons as "a strong example of how Italian innovation, combined with exceptional talent density, can compete and grow on a global scale."

Bending Spoons acquires digital businesses and applies operational changes to expand earnings. Its portfolio includes brands such as Vimeo, Eventbrite, Evernote, WeTransfer, and AOL. The company reported serving more than 500 million monthly active users and over 9 million monthly paying customers as of March 2026.
