Autodesk establishes $2B commercial paper program

Autodesk (NASDAQ: ADSK) established an unsecured commercial paper program on July 13, 2026, allowing the company to issue short-term notes with a maximum aggregate principal amount of $2.0 billion outstanding at any one time.
The notes issued under the program will carry maturities of no more than 365 days from the date of issue. Amounts may be borrowed, repaid, and re-borrowed over time. The program is backstopped by Autodesk's existing unsecured revolving credit facility, which carries aggregate commitments of $2.0 billion.
According to a Current Report on Form 8-K, Autodesk intends to use proceeds from the notes for general corporate purposes, including to partially finance its previously announced acquisition of MaintainX Inc. That deal was outlined in an Agreement and Plan of Merger dated May 28, 2026, which also involves Matterhorn Acquisition Corp., a wholly-owned subsidiary of Autodesk, and Shareholder Representative Services LLC acting as the securityholders' agent.
As of the filing date, no notes had been issued under the program. The notes will not be registered under the Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
