Aptorum Group shareholders approve merger with DiamiR Biosciences

Aptorum Group Limited (NASDAQ: APM) announced that its shareholders voted to approve the proposed all-stock merger transaction with DiamiR Biosciences Corp. at a shareholder meeting held on June 9, 2026. DiamiR shareholders also approved the transaction on the same date.

The merger agreement, originally announced on July 16, 2025, will result in DiamiR becoming a wholly owned subsidiary of Aptorum Group upon completion. DiamiR develops blood-based diagnostic tests for brain health and other diseases using microRNA analysis technology.

The transaction remains subject to customary closing conditions, with the companies expecting to complete the merger before fiscal 2027. Aptorum Group is a clinical stage biopharmaceutical company focused on oncology and infectious diseases, while DiamiR operates a molecular diagnostics platform for early detection and monitoring of brain health conditions.

Ian Huen, Chief Executive Officer and Chairman of Aptorum Group, stated that shareholders of both companies recognized the strategic rationale of the transaction. Alidad Mireskandari, Chief Executive Officer of DiamiR, expressed gratitude for shareholder support and confidence in advancing diagnostic solutions for neurodegenerative diseases.

DiamiR's technology platform is protected by over 50 issued patents worldwide and includes a CLIA-certified, CAP-accredited laboratory. The company collaborates with academic centers, disease foundations, and biopharmaceutical companies to develop minimally invasive tests for clinical trials and practice settings.
