Analogic Corporation and Leidos (NYSE: LDOS) announced the completion of a transaction combining Analogic with Leidos' Security Enterprise Solutions, Ports & Borders, and Industrial Automation businesses.
The combined company will operate under the Analogic brand as a privately held company headquartered in Salem, New Hampshire. Tom Ripp, Analogic's chief executive officer, will lead the combined entity. Altaris, LLC is also a party to the transaction.
The combined company will focus on security imaging and detection solutions for airports, ports, borders, critical infrastructure, and other high-consequence environments.
"By bringing together two highly complementary organizations, we are creating a stronger, more focused global security imaging and detection company with broader capabilities, deeper customer relationships, expanded reach, and greater opportunity to innovate and grow," said Ripp.
Kirkland & Ellis LLP and Hinckley Allen & Snyder LLP acted as legal advisors to Analogic, with Ernst & Young LLP serving as accounting advisor. Leidos retained PJT Partners as financial advisor, Fried, Frank, Harris, Shriver & Jacobson LLP and DLA Piper as legal advisors, and KPMG as accounting advisor.
