AGM Group completes $500,000 convertible note offering

AGM Group Holdings Inc. (NASDAQ: AGMH) completed the second closing of a convertible promissory note offering, raising $425,000 in gross proceeds from a $500,000 principal amount note on December 18, 2025.

The convertible note can be converted into Class A ordinary shares of the company, which has a par value of $0.05 per share. This closing represents the second installment of a $2 million first tranche under a larger agreement with an institutional investor.

In September 2025, AGM Group entered into agreements allowing for up to $6 million in convertible advances across three tranches. The first tranche totals $2 million, structured as two installments: $1.5 million at initial closing and $500,000 upon effectiveness of a resale registration statement filed with the Securities and Exchange Commission.

The Hong Kong-based company operates in the cryptocurrency mining sector, focusing on ASIC chip design and crypto miner production. AGM Group describes itself as among the few publicly-listed companies in the U.S. market with both chip design and mining equipment manufacturing capabilities.

The securities have not been registered under federal securities laws and cannot be offered or sold in the United States without registration or an applicable exemption from registration requirements.
