RYVYL secures NASDAQ listing, plans 15-to-1 reverse split ahead of merger

RYVYL Inc. (NASDAQ: RVYL) announced it has met NASDAQ's shareholder equity requirements, removing its previous delisting risk ahead of a planned merger with Roundtable.

The compliance follows a direct capital investment from Roundtable into RYVYL, which provided funding to strengthen RYVYL's balance sheet and maintain its NASDAQ listing. RYVYL will seek shareholder approval for a 15-to-1 reverse stock split at its annual meeting on October 30, 2025, to meet NASDAQ's minimum share price requirement before the December 9, 2025 compliance deadline.

Under the definitive merger agreement, James Heckman will become CEO of the combined company, which will be renamed RTB Digital, Inc. and operate as Roundtable. Walton Comer will serve as chairman of a seven-member board. The transaction requires shareholder approval and regulatory review.

Roundtable operates a Web3 digital media platform that uses blockchain technology and a Bitcoin-powered liquidity pool. The company partners with media brands including Yahoo, TheStreet, and Sports Illustrated team channels. Co-founder Eyal Hertzog designed the platform's decentralized payment system and holds patents for automated market-making protocols used in decentralized finance.

Heckman previously founded Arena, which became a public company serving over 300 brands. He also held executive positions at Yahoo! and Fox Interactive. The company's board includes investors from blockchain and digital media backgrounds.

RYVYL currently operates a digital payment processing business for international markets. The merger closing remains subject to standard regulatory approval and shareholder consent.
